These Terms of Service ("Terms") govern your use of the website and services provided by Ad Collab ("we," "us," or "our"). By accessing our website at adcollab.agency or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
Ad Collab is a paid media consultancy that provides digital advertising strategy, campaign management, creative development, reporting, and related services for local businesses. Our services may include but are not limited to:
All service engagements are governed by a separate Service Agreement between Ad Collab and the client. These Terms apply to the use of our website and general interactions with our business. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.
Our service engagements operate on a month-to-month basis. Either party may terminate the engagement with 30 days' written notice. There are no long-term binding contracts unless explicitly agreed upon in writing.
All advertising accounts, data, audiences, and creative assets created during the engagement belong to the client. Ad Collab does not retain ownership of client accounts or data upon termination of services. We will facilitate a complete handoff of all accounts and access upon request.
You may use our website for lawful purposes only. You agree not to:
When you submit information through our website forms (including audit requests, contact forms, or intake forms), you represent that the information provided is accurate and that you are authorized to share it. We use this information to respond to your inquiry, provide requested services, and improve our offerings. See our Privacy Policy for full details on how we handle your information.
The Ad Collab name, logo, website design, and original content are the intellectual property of Ad Collab and may not be used, reproduced, or distributed without our prior written consent.
Campaign strategies, ad copy, and creative assets developed for clients during an active engagement are the property of the client, as outlined in Section 2.2.
Our services involve the use of third-party advertising platforms including but not limited to Google Ads, Meta Business Suite, Google Merchant Center, and Google Analytics. These platforms are governed by their own terms of service and privacy policies. Ad Collab is not responsible for changes to third-party platform policies, pricing, account suspensions, or service disruptions that are outside of our control.
Our retainer fees are flat monthly amounts as agreed upon in the Service Agreement. Ad spend is billed directly to the client by the advertising platforms (Google, Meta, etc.) and is separate from our retainer. We do not charge a percentage of ad spend.
Retainer payments are due at the beginning of each service month. Late payments may result in a pause of active campaign management until the balance is resolved.
Ad Collab provides digital advertising services to the best of our professional ability. However, we do not guarantee specific results, including but not limited to lead volume, conversion rates, revenue, or return on ad spend. Advertising performance is influenced by numerous factors outside of our control, including market conditions, competition, client website quality, and consumer behavior.
To the maximum extent permitted by law, Ad Collab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with our services or website use.
You agree to indemnify and hold harmless Ad Collab, its owners, and collaborators from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our website, your violation of these Terms, or your engagement of our services.
We reserve the right to terminate or suspend access to our website or services at our discretion, with reasonable notice, if these Terms are violated or if continuing the engagement is not in the best interest of either party.
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
