1. Services Provided
Ad Collab will provide the following digital advertising management services to Client during the term of this SOW.
1.1. Channels Managed
Ad Collab will plan, build, operate, and optimize advertising campaigns on the following channels:

Each channel is managed end-to-end: account structure, targeting, creative, bidding, budgets, reporting, and optimization.
1.2. Advertising Accounts
Ad Collab will operate, on Client’s behalf and under Client’s ownership, the following advertising accounts (as further defined in the Onboarding workflow):

Client retains ownership of each account. Ad Collab is granted the minimum access level required per platform.

2. Deliverables and Cadence
Unless otherwise noted in Section 8 (Out of Scope) or via a written amendment, Ad Collab will provide:
- Weekly account operations: bid/budget adjustments, creative rotation, negative keyword additions, audience maintenance, account monitoring.
- Monthly performance reporting: written report with plain-English narrative, key metrics, insights, and next-month priorities. Delivered via the Ad Collab Client Portal.
- Monthly strategy call: 30–60 minute call to review performance and discuss priorities. Scheduled within the first 10 business days of each month.
- Creative refresh cadence: as required by platform fatigue signals; no fixed minimum unless specified below.
- Response time for inbound requests: acknowledgment within one business day; resolution commensurate with scope.
Additional deliverables, custom reporting, or faster cadences may be added via written amendment or add-on services.
3. Fees
3.1. Monthly Retainer

The retainer is a flat fee for the Services described in Section 1 and is not tied to ad spend. Increases or decreases in ad spend do not change the retainer.
3.2. Add-On Services
The following add-on services are included in this SOW at the fees set forth below:

Add-on fees are billed in addition to the Monthly Retainer, on the same Billing Day, and are subject to the same payment terms.
3.3. Ad Spend
Client pays for ad spend directly to the respective advertising platforms using Client’s payment methods on file with each platform. Ad Spend is not a Fee under this SOW and is not billed through Ad Collab. Ad Collab does not receive, hold, remit, advance, or finance Ad Spend on Client’s behalf.
3.4. Third-Party Tools
Client is responsible for the cost of any third-party tools, stock media, or software that require a paid subscription to deliver the Services. Ad Collab will recommend tools but will not charge markup on third-party costs.
3.5. Pass-Through Costs (Zero Markup)
Where Ad Collab incurs extraordinary out-of-pocket costs on Client’s behalf with Client’s prior written approval (e.g., stock media licenses, vendor invoices, third-party tool subscriptions paid by Ad Collab in Client’s name), those costs are billed at cost plus zero markup, as set forth in MSA §3.4. Ad Collab does not earn rebates, kickbacks, or undisclosed margin on media buys, vendor invoices, or platform spend.
4. Key Performance Focus
Ad Collab will focus on the following performance areas for Client. These are priority areas, not commitments. Ad Collab makes no representation that any specific KPI, lead volume, ROAS, conversion rate, cost per lead, cost per acquisition, ranking, or revenue target will be achieved. Performance depends on factors outside Ad Collab’s control, including market conditions, competition, Client’s product/service quality, platform algorithm changes, and similar variables. See MSA §9 (Disclaimer of Warranties) and §8.4 (Attribution & Reporting Disclaimer).

5. Reporting and Access
- Primary reporting surface: The Ad Collab Client Portal at

- Urgent matters: Email flagged

Reporting figures shown in the Portal may differ from platform-native reporting per Terms §7.3 and MSA §8.4. Authoritative data lives in each platform’s native interface.
6. Change Control
Any change to the Services described in Section 1, the deliverables in Section 2, or the Fees in Section 3 requires: (a) a written request from Client; (b) a written confirmation from Ad Collab with any applicable Fee adjustment; and (c) written acceptance from Client (email countersign is sufficient). Out-of-scope work is not performed until the change is confirmed.
7. Term
This SOW is effective on the Effective Date and continues on a month-to-month basis until terminated in accordance with the Service Agreement or the MSA.
8. Out of Scope
Unless expressly included in Section 1, the following are out of scope for this SOW and will not be performed without a written amendment:
- Website design, development, or hosting
- Landing page creation or conversion rate optimization (CRO) beyond what is incidental to ad creative and audience targeting
- SEO technical audits or content production
- Email marketing management (available as a separate add-on)
- Customer service, sales calls, or lead qualification
- Creative production beyond the standard iteration cadence (e.g., full video production, photoshoots)
- Account access or services for channels not listed in Section 1.1
- Representation in disputes with advertising platforms, beyond ordinary account management
- Drafting, deploying, configuring, or auditing Client’s cookie/tracking-consent banner (this is Client’s responsibility per MSA §15.2)
- Compliance audits or remediation for Client’s website, privacy policy, terms of use, or other Client-owned digital property
- Tax, accounting, or legal advice
9. Dependencies and Assumptions
- Client is responsible for granting and maintaining access to all advertising accounts.
- Client is responsible for the legality and accuracy of its advertising content, promotional offers, and claims.
- Client maintains a CIPA-compliant cookie/tracking-consent banner on its website before Ad Collab installs or activates any Tracking Technology (pixel, conversion tag, session-replay tool, SDK), per MSA §15.2.
- Client maintains a published privacy policy that discloses each Tracking Technology in use, per MSA §15.2(e).
- Client will respond to approval requests within two business days. Delays beyond five business days extend corresponding deliverable dates by the same amount.
- Client is responsible for its products, services, and customer fulfillment; Ad Collab is not a reseller or fulfillment provider.
10. Incorporation
This SOW is incorporated into and forms part of the Service Agreement dated {{effective_date}} between the Parties. In the event of any conflict between this SOW and the MSA or Terms Acceptance, the order of precedence is as set forth in the Service Agreement. Capitalized terms not defined here have the meanings given in the MSA.
